By accessing our website (gridpro.com and its subdomains), creating an account, or using our software, you agree to these Terms. If you do not agree, please do not use our services.

3. Website Terms of Use

3.1 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms, subject to reasonable notice where practicable.

3.2 Acceptable Use

You agree not to:

  • Use our Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the operation of our Services

  • Scrape, crawl, or harvest data from our website without permission
  • Impersonate any person or entity
  • Use our Services to send unsolicited communications
  • Circumvent any security measures or access controls

3.3 Intellectual Property

3.4 User Content

By submitting content through our Services (form submissions, support tickets, file uploads), you grant us a limited, non-exclusive licence to use that content solely for the purpose of providing our Services to you. You retain ownership of your content.

You represent that you have the right to submit any content you provide and that such content does not infringe the rights of any third party.

3.5 Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of third-party sites. Your use of third-party sites is at your own risk.

4. Software Licence Terms

The following terms apply specifically to GridPro software products.

4.1 Licence Grant

PDC grants you a limited, non-exclusive, non-transferable licence to install and use the Software on a single computer for the period specified in your purchase terms, subject to these conditions.

PDC retains all ownership and intellectual property rights in the Software.

4.2 Permitted Use

You may:

  • Install and use one copy of the Software on a single computer for the purchased licence duration
  • Use the Software on a network, provided each computer that accesses the Software has a valid licence
  • Transfer the Software permanently to another party with PDC's prior written consent, provided the recipient agrees to these Terms and you retain no copies

4.3 Restrictions

You may not:

  • Use the Software beyond the purchased licence period
  • Copy accompanying documentation
  • Sublicence, rent, lease, or lend the Software or any portion thereof
  • Reverse engineer, decompile, disassemble, modify, or translate the Software
  • Attempt to discover the source code of the Software
  • Use previous versions of the Software after receiving a replacement or upgrade

4.4 Licence Termination

Your licence terminates automatically if you breach any of these Terms. Upon termination, you must destroy all copies of the Software in your possession.

5. Cloud Services Terms

5.1 GridPro Cloud

If you use GridPro Cloud, the following additional terms apply:

  • Storage: Files are stored in encrypted cloud storage. Storage quotas and limits are defined by your account type.
  • Availability: We use commercially reasonable efforts to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
  • Data ownership: You retain full ownership of files you upload. We do not access your files except as necessary to provide the service, to comply with law, or to enforce these Terms.
  • Deletion: Upon account termination, your files will be retained for 30 days to allow retrieval, and then permanently deleted.

5.2 Support Services

Support is provided through our helpdesk at gridpro.com/support. Response times depend on your service level and the nature of your request. Support communications are retained for quality and service improvement purposes, as described in our Privacy Policy.

6. Data Processing

6.1 Privacy

Your use of our Services is governed by our Privacy Policy and Cookie Policy. By using our Services, you acknowledge that you have read and understood these policies.

6.2 Data Processing Agreement (Business Customers)

If you are a business customer and require a Data Processing Agreement (DPA) for the purposes of GDPR or other applicable data protection legislation, please contact us at [privacy@gridpro.com]. We can provide a DPA incorporating EU-approved Standard Contractual Clauses (SCCs).

7. Warranties and Disclaimers

7.1 Software Warranty

PDC warrants that the media on which the Software is distributed will be free from defects for a period of sixty (60) days from the date of delivery of the Software.

To the fullest extent permitted by applicable law, this warranty is exclusive and in lieu of all other warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

PDC does not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

7.2 Website and Services

Our website and online Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

7.3 Consumer Rights (EU/UK)

If you are a consumer in the European Union or United Kingdom, nothing in these Terms affects your statutory rights under applicable consumer protection laws, including the Consumer Rights Act 2015 (UK) or the EU Consumer Rights Directive.

In particular:

  • You have the right to a 14-day cooling-off period for online purchases (where applicable)
  • Digital content must be of satisfactory quality, fit for purpose, and as described
  • You may have additional rights under your national consumer protection laws

Where these Terms conflict with your mandatory statutory rights, your statutory rights prevail.

8. Limitation of Liability

8.1 General

To the maximum extent permitted by applicable law:

  • PDC shall not be liable for any special, consequential, indirect, or similar damages, including lost profits, lost data, or business interruption, arising from use of or inability to use the Software or Services
  • PDC's total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the fees you paid to PDC in the 12 months preceding the claim, or (b) one hundred US dollars ($100)

8.2 Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by applicable law

8.3 Consumer Protections

If you are a consumer in the EU or UK, the limitations in this Section 8 apply only to the extent permitted by applicable consumer protection laws. These limitations do not affect any mandatory consumer rights that cannot be waived by contract.

9. Indemnification

If you are a business user, you agree to indemnify and hold harmless GridPro, its officers, employees, and agents from any third-party claims, damages, or expenses arising from:

  • Your material violation of these Terms
  • Your violation of any third-party intellectual property or other rights
  • Your wilful misconduct or negligence in connection with the Services

This section does not apply to consumers in the EU or UK, to the extent that it would be unfair or unenforceable under applicable consumer protection laws.

10. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters, acts of government, internet or telecommunications failures, power outages, third-party hosting or infrastructure provider failures, cyberattacks, pandemics, or other events of force majeure. The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.

11. Governing Law and Disputes

11.1 Informal Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally by contacting the other party. We will try to resolve your concern within 30 days of receipt.

11.2 For Users Outside the EU/UK

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law provisions. Any disputes that cannot be resolved informally shall be resolved in the courts of Miami-Dade County, Florida.

11.3 For EU/UK Consumers

If you are a consumer habitually resident in the EU or UK:

  • These Terms are governed by the laws of your country of residence
  • You may bring proceedings in the courts of your country of residence
  • We may bring proceedings only in the courts of your country of residence
  • You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr

12. U.S. Government Restricted Rights

Use of the Software by or for the United States Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, and in subparagraphs (a) through (d) of the Commercial Computer-Restricted Rights clause at Federal Acquisition Regulations 52.227-19.

13. Modifications to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on our website with a new "Last updated" date. For significant changes, we will use reasonable efforts to provide advance notice (such as an email notification if you have an account).

Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms, except where additional consent is required by applicable law. If you do not agree to the changes, you should stop using our Services.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.3 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and GridPro regarding use of our Services and Software.
